UCircle Terms of Service (End-User Licence Agreement)

These Terms of Service ("Terms") are a binding agreement between you and UCircle ("we", "us"), a product of the Uniton One ecosystem, governing your access to and use of the UCircle application, website (ucircle.net) and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and age

You must be at least 16 years old (or the minimum age of digital consent in your country, if higher) to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

2. Your account and identity

UCircle uses single sign-on via Uniton ID. Each account corresponds to one real, unique person; impersonation, fake, or bot accounts (except officially permitted assistant features) are prohibited. You are responsible for keeping your credentials secure and for all activity under your account. Notify us promptly of any unauthorised use.

3. Licence to use the Service

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your personal and/or business use. You may not copy, modify, reverse-engineer, scrape, resell, or build a competing service from the Service, except as permitted by law.

4. Acceptable use — prohibited content and conduct

UCircle is a trusted, real-identity community. We have zero tolerance for objectionable content and abusive behaviour. You must not use the Service to create, upload, send, or share content, or engage in conduct, that:

  • is unlawful, or facilitates illegal activity;
  • depicts, promotes, or facilitates child sexual abuse or exploitation (CSAE) — a strict, zero-tolerance prohibition (see our Child Safety Standards & Anti-CSAE Policy);
  • is sexually explicit, or sexualises minors in any way;
  • is harassing, bullying, threatening, or incites violence or self-harm;
  • is hateful or attacks people based on race, ethnicity, religion, disability, sex, gender, sexual orientation, nationality, or other protected characteristics;
  • promotes terrorism, violent extremism, or dangerous organisations;
  • is fraudulent, deceptive, a scam, or a pyramid/Ponzi scheme;
  • infringes intellectual-property or privacy rights;
  • is spam, or involves bulk/automated abuse, malware, or attempts to disrupt or breach the Service;
  • harvests or exposes others' personal data without consent.

You also agree to follow our Community Guidelines & Acceptable Use, which form part of these Terms.

5. Your content

You retain ownership of the content you create ("Your Content"). To operate the Service, you grant UCircle a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display and distribute Your Content solely as needed to deliver the Service to you and the recipients/circles you choose, and to maintain safety and comply with law. This licence ends when Your Content or your account is deleted, except for content already shared with others, residual backups purged on cycle, or where retention is legally required. You are responsible for Your Content and represent that you have the rights to share it.

6. Reporting, moderation and enforcement

We provide tools to report violating content and to block other users. We use automated and/or human review to filter and act on objectionable content, and we act on reports within a reasonable time — and promptly (targeting within 24 hours) for egregious violations such as CSAE. We may, with or without notice: remove or restrict content; issue warnings; limit features; and suspend or terminate accounts that violate these Terms. Where appropriate we offer a way to appeal an enforcement decision. Blocking and removal apply consistently across our app and website. Egregious or repeated violations may result in immediate, permanent termination.

7. Commerce and redeemables

Some Circles sell items as redeemable codes/QR (e.g. tickets, vouchers, packages, cards) — there is no physical fulfilment or logistics by UCircle. Money settles through the Uniton Core / wallet layer; UCircle does not hold or move your funds and takes no cut of merchant sales. A purchase is a transaction between you and the selling merchant, who is responsible for the goods/services and for honouring the redeemable. Refunds, disputes and merchant obligations are described in our Commerce, Redeemable & Refund Terms.

8. AIER and AI features

The Service includes AIER, an AI advisory assistant. AIER is informational and advisory only — it does not provide professional legal, medical, financial, or other regulated advice, and it does not act on your behalf for high-impact actions. The governing principle is: AI suggests, people decide. Do not rely on AIER output as professional advice; verify important decisions independently.

9. Intellectual property

The Service, including its software, design, brand, and content (excluding Your Content), is owned by UCircle or its licensors and protected by law. These Terms grant you no rights in our intellectual property except the limited licence in §3. To report infringement, see our Intellectual Property & Copyright (Notice-and-Takedown) Policy.

10. Privacy

Our collection and use of your information is described in our Privacy Policy, which is incorporated into these Terms.

11. Third-party services

The Service may rely on or link to third-party services (e.g. infrastructure, calling, identity, payments). Your use of those services may be subject to their own terms, and UCircle is not responsible for them.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of liability

To the maximum extent permitted by law, UCircle and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service.

14. Indemnity

You agree to indemnify and hold harmless UCircle from claims, damages, and expenses arising out of Your Content, your use of the Service, or your breach of these Terms or of applicable law, to the extent permitted by law.

15. Suspension and termination

We may suspend or terminate your access for violation of these Terms or to protect the Service or its users. You may stop using the Service and delete your account at any time (in-app Settings → Delete account, or ucircle.net/deletion) — see our Account & Data Deletion Policy. Sections that by their nature should survive termination (e.g. §5 licence tail, §9, §12–§14, §18) survive.

16. Changes to the Service and to these Terms

We may modify the Service and update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, where required, notify you. Your continued use after an update constitutes acceptance.

17. Governing law and disputes

This Agreement is governed by the laws of Vietnam. Any dispute arising out of or relating to this Agreement or your use of UCircle will first be addressed through good-faith negotiation; if it is not resolved within 30 days, it will be submitted to the competent People's Court of Vietnam, unless a mandatory consumer-protection venue in your country of residence applies. Nothing in this section limits the mandatory statutory consumer rights you may have where you live.

19. Apple App Store — additional terms (apply when you obtain the app from the Apple App Store)

These additional terms are required by Apple and apply only to use of the app obtained from the Apple App Store:

  • This EULA is between you and UCircle only, not with Apple. Apple is not responsible for the app or its content.
  • Your licence is limited to a non-transferable licence to use the app on Apple-branded products you own or control, per the Apple Media Services / App Store Terms.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the app, and any other claims are UCircle's responsibility.
  • UCircle, not Apple, is responsible for addressing any product-liability claims, claims that the app fails to conform to legal/regulatory requirements, and consumer-protection claims.
  • In the event of a third-party intellectual-property infringement claim relating to the app, UCircle, not Apple, is responsible for investigation, defence, settlement and discharge.
  • You represent you are not located in a U.S.-embargoed country or on a U.S. prohibited-parties list, as required by Apple.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.
  • You must comply with applicable third-party terms when using the app.

20. Google Play note

When you obtain the app from Google Play, your use is also subject to the Google Play Terms of Service. These Terms govern the app itself as between you and UCircle.
